The world is grappling with disruptions from geopolitical tensions, economic shifts, rapid AI advancements, and escalating ESG demands.

In response to these shifts, boards of directors are redefining their roles, reviewing their composition and operating model to ensure effective governance that fosters responsible stewardship. Boards today are rethinking business strategies, integrating sustainability for long-term value creation while navigating an ever more complex regulatory landscape.

  • Johan Raslan, independent director and audit committee chairman of Sime Darby Property Berhad, board member of the Institute of Corporate Directors Malaysia and the Malaysian Securities Commission’s Audit Oversight Board. He is a Council member of Climate Governance Malaysia, member of the Institute of Chartered Accountants in England and Wales (ICAEW) and a former Executive Chairman of PwC Malaysia. Most of his executive career was spent in public accounting and consulting: for 10 years in London and 20 years in Kuala Lumpur and the ASEAN region. 
  • Dr Patricia Rodrigues Jenner is a board Non-Executive Director, Porfolio NED, a purposeful leader with over two decades of institutional investment experience across real assets, over $10Bn+ transactions including at Macquarie. She has a breadth of leadership and sustainability experience, including as co-founder of the UK Government’s Green Investment Bank in 2011. Patricia is co-founder of InfraNEDs (real assets women NEDs global community, with over 200 women NEDs), Leading Woman of Influence in Private Markets, and mentor to Nordic VC Katapult Ocean CEOs in deep clean tech. She holds an Engineering Ph.D. from Cambridge University (UK).

This session will delve into key findings from a joint research study, conducted by INSEAD Corporate Governance Centre, BCG, and Heidrick & Struggles with the contribution of the board directors’ communities from INSEAD Directors Network, Boards Impact Forum and the Climate Governance Initiative.

The key highlights include:

  • Research insights presented by Ron Soonieus, Director in Residence at INSEAD Corporate Governance Centre and Senior Advisor at Boston Consulting Group, and Alice Breeden, Partner at Heidrick & Struggles.
  • An Interactive panel discussion featuring distinguished board members and experts.

Attendees will have the opportunity to participate in breakout room sessions, engaging with other NEDs (Non-Executive Directors) to discuss the progress of ESG in boardrooms. Feedback from these discussions will be shared with the panel for further insights.

The session will conclude with remarks from Sonia Tatar, Executive Director of the INSEAD Corporate Governance Centre, who will provide observations on shifts in boardroom dynamics.
